Welcome to VIPShaadi.com (“VIP Shaadi”), a boutique matchmaking offering by the connoisseurs of matchmaking, Shaadi.com. These services are designed to assist VIP Members in their search for a matrimonial partner aligned with their preferences and lifestyle, through the curation and publication of personalized matrimonial profiles ("Services").

These Terms of Use ("Agreement") set forth the legally binding terms and conditions that govern a VIP Members's access to and use of the VIP of the VIPShaadi.com website ("Site"), the related application ("Application"), and the Services provided therein. The Site and Application (collectively referred to as the "Platform") are owned and operated by People Interactive (India) Private Limited ("VIP Shaadi"). This Agreement may be modified by VIP Shaadi from time to time.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021 for access or usage of www.VIPShaadi.com (the "Website/app/platform"). VIPShaadi.com is an "intermediary" as defined under sub-clause (w) of Section 2 of the Information Technology Act, 2000.

All terms and conditions of use applicable to Shaadi.com (accessible [here]) are incorporated herein by reference. Terms not defined in this Agreement shall have the meanings assigned to them under the Shaadi.com Terms of Use.

Under this Agreement, "VIP Member" shall mean a registered Member who has paid the applicable subscription fee and availed the Services offered under VIPShaadi.com.

1. Eligibility
   
   • Age:
     To register as a member, you must be of legal marriageable age as per the laws of India (currently, 18 years or more for females and 21 years or more for males). In addition to fulfilling the eligibility criteria of Shaadi.com, a VIP Member shall be required to submit valid government-issued identification documents and obtain "Blue Tick" verification status on their Shaadi.com profile. Only upon fulfilment of the above shall a Member be deemed eligible for VIP Membership
2. Term
   The term of the VIP Membership shall be as per the specific membership plan opted for by the Member. The applicable term and inclusions shall be disclosed at the time of subscription.
3. Limitation of Liability
   VIP Shaadi is a matchmaking facilitator and does not guarantee the success, compatibility, or outcome of any match. VIP Members are solely responsible for assessing the suitability, conduct, and intentions of other Members. VIP Shaadi, including its directors, officers, employees, or representatives, shall not be held liable for any loss or damage of any nature, including emotional, financial, reputational, or physical harm arising out of interactions or communications with other Members.
   
   The Personal Consultant assigned to a VIP Member shall be responsible solely for recommending prospective matches based on the partner preferences shared by the Member. Any match suggestions, communications, or partner recommendations generated and shared by the Personal Consultant are algorithmically derived from the preference inputs provided by the Member in their profile and are intended solely for the Member's personal reference and consideration. Members are expressly advised and cautioned to independently verify the authenticity, accuracy, and reliability of any information provided by other Members, including those bearing the verification blue tick. Shaadi.com, the Personal Consultant, and/or any of its employees expressly disclaim any responsibility or liability for, and do not guarantee or endorse, the genuineness, character, intent, or suitability of any Member profile, match, or recommendation. The VIP Member is solely responsible for conducting independent due diligence.
   
   VIP Shaadi and its personnel disclaim all liability for any content, communication, or information posted by a Member, including a VIP Member, on the Platform.
4. Indemnity The VIP Member agree to indemnify, defend, and hold harmless VIP Shaadi, its parent company, affiliates, subsidiaries, directors, officers, employees, consultants, and agents from any and all claims, demands, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising from or related to:
   
   • use of the Services;
   • breach of this Agreement;
   • any misrepresentation, fraud, or negligence on the VIP Member's part; and
   • any violation of applicable law.
5. Governing Law and Jurisdiction
   This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes or differences arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts situated in Mumbai, Maharashtra, India.
6. General Provisions
   This Agreement constitutes the entire understanding between a VIP Member and VIP Shaadi regarding their use of the Services, and supersedes all prior agreements or understandings, whether written or oral.
   
   If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remainder of this Agreement shall remain in full force and effect.
   
   By registering on the Platform or availing the Services, the VIP Member expressly consent to receive communications (including calls, SMS, WhatsApp messages, and emails) from VIP Shaadi and its affiliates during their active membership. This consent shall override any preferences registered with the Do Not Disturb (DND) or National Customer Preference Register (NCPR).
   
   Communications may relate to verification, matchmaking suggestions, service updates, promotions, or other relevant matters.
7. Trademark
   VIP Shaadi is a registered trademark of People Interactive (India) Private Limited. Unauthorized use of the trademark is strictly prohibited.
8. Acceptance
   By becoming a VIP Member and/or by using the Services, you acknowledge that you have read, understood, and agreed to be legally bound by the terms of this Agreement. If you do not agree to be bound by any of the terms herein, you are advised not to register for or use the VIP Services.
9. Individual-Only Membership
   Membership is restricted strictly to the registered VIP Member only. Organizations, companies, businesses and/or individuals carrying on similar or competitive business cannot become Members of VIP Shaadi and nor use the VIP Members data for any commercial purpose. VIP Shaadi reserve its right to initiate appropriate legal action for such data misuse/theft. VIP Member shall not assign or transfer your membership to any other person or entity.
10. Confidentiality
    VIP Shaadi will maintain confidentiality of all personal information [other than that meant for sharing with the prospect] furnished by VIP Member and shall take all possible and/or bonafide steps for maintaining the confidentiality. However, VIP Shaadi/VIP Member may divulge such information if required by law (without prior intimation to you).
    
    Any feedback you provide to a VIP Member will be considered non-confidential. The VIP Member is free to use such feedback without any restrictions. By submitting your feedback, you confirm and guarantee that:
    • your feedback does not include any confidential or proprietary information belonging to you or any third party;
    • the VIP Member is not bound by any confidentiality obligations, whether expressed or implied, regarding the feedback; and
    • you are not entitled to any form of compensation or reimbursement from the VIP Member under any circumstances for the feedback provided.
    
    
    You acknowledge and agree that VIP Shaadi has the full right to process your data using automated systems in order to present you with compatible profile matches based on your specified partner preferences. This may include communication from VIP Shaadi or other community websites.
